By signing below, Applicant and each Guarantor: (1) warrant that the information provided in this application is true and correct and given for the purpose of obtaining credit; (2)understand that if credit is extended, (a) AGCO Finance LLC, it's agents, servicers, affiliates and assigns ("AFC Entities"), including, without limitation, it's current servicer, Agricredit Acceptance LLC, and (b) Wheeler Machinery Co.("Wheeler") will rely on such information to secure the indebtedness; (3)authorize references named in this application to provide all relevant information to the AFC Entities and Wheeler; (4) authorize the AFC Entities and Wheeler to verify the information provided in this application and evaluate Applicant's and Guarantor's creditworthiness by contacting whatever source is deemed necessary; (5) authorize the AFC Entities and Wheeler to release to, and share and exchange with (a) any other AFC Entities, (b) any manufacturer of equipment covered by this application, or such manufacturer's affiliates, and (c) any other dealer that may sell or lease the type of equipment covered by this application or that may submit or originate this application, any information concerning applicant or Applicant's credit experience with the AFC Entities or Wheeler and their decision whether or not to extend any credit; (6) waive any right to confidentiality that may exist with respect to the release, exchange, or sharing of such information; and (7) authorize the AFC Entities and Wheeler to retain any information obtained as part of the application process whether or not the requested credit is granted.

AGREEMENT: By Signing below, Applicant and each Guarantor agree to all of the following terms: (1) applicant shall pay machine and engine invoice amounts to Wheeler Machinery Co. ("Wheeler") within 10 days of the date of invoice, and shall pay parts, service, and rental invoice amounts to Wheeler within 30 days of the date of invoice; (2) all sums not paid as indicated in (1) shall be considered past due and shall bear a service charge of 2% per month payable to Wheeler; (3) Applicant shall pay all attorney fees and costs, as well as the cost of investigators and collection agencies, if any part of this account is past due, whether or not court action is taken or a judgment is rendered; (4) this agreement shall be construed under the laws of the State of Utah; (5) if legal action is brought to enforce this agreement, then Salt lake City, Utah, shall be the exclusive jurisdiction and legal venue for said action; (6) Applicant shall pay Wheeler a $30 service charge on each dishonored check payable to Wheeler; (7) Wheeler has the right to file a Preliminary Notice on any project to which invoiced equipment has been supplied, and Applicant shall provide wheeler complete Preliminary Notice information immediately when requested by Wheeler, and shall at all times keep Wheeler informed of the location of such equipment;(8) Wheeler's acceptance of this application constitutes acceptance by Applicant of the terms and conditions of this agreements; (9) all transactions made hereunder shall be governed by the foregoing terms and conditions, as well as any terms or conditions on Wheeler's quotation agreements, rental agreements, and/or invoices; (10) the AFC Entities or Wheeler may accept, utilize or rely upon a facsimile copy ("fax") , electronic copy, or photocopy of this application, in lieu of an original document; (11) Applicant and Guarantor shall be bound by the terms and conditions contained in such a fax, electronic copy, or photocopy, as if an original document had been delivered to the AFC Entities or Wheeler; and (12) Applicant and Guarantor waive any rights to (a) object to the use of such a fax, electronic copy, or photocopy, or (b) require the AFC Entities or Wheeler to subsequently produce an original document.

CONTINUING PERSONAL GUARANTY (25%+ owners, LLC managers, general partners, CEO's)

By signing below each undersigned Guarantor guarantees the prompt payment of any and all sums of money now due and payable or at any time hereafter due and payable by Applicant to Wheeler. Each undersigned Guarantor agrees as follows; (a) this Guaranty is continuing, personal, cumulative, unconditional, and joint and several; (b) if married, Guarantor has been authorized by the non-signing spouse to execute this Continuing Personal Guaranty on behalf of the non-signing spouse, so as to bind their marital property; (c) Wheeler may proceed against Guarantor without being required to first proceed against Applicant and may proceed against any one of the Guarantors without waiving its right to proceed against any other of the Guarantors; and (d) Guarantor waives notice of (1) default or non-payment by Applicant, (2) extension of time or modification of terms or conditions of Applicant's account, or (3) settlements or resolutions of disputes between Applicant and Wheeler.
